BookReverb Terms of Service

These Terms of Service ("Terms") govern your access to and use of BookReverb, including the website located at https://bookreverb.com, related applications, dashboards, tools, reader programs, campaign features, payment features, communications, and services offered by BookReverb (collectively, the "Services").

These Terms are a legally binding agreement between you and BookReverb ("BookReverb," "we," "us," or "our"). By accessing or using the Services, creating an account, submitting a book, funding a campaign, accepting a reading assignment, submitting feedback, or otherwise using any part of the Services, you agree to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

1. Definitions

For purposes of these Terms:

"Publisher" means any author, publisher, rights holder, marketer, agency, representative, or other person or entity that submits a book, funds a campaign, or uses BookReverb to connect a book with readers.

"Reader" means any person who participates in a reading assignment, reader program, reader campaign, feedback assignment, or other reader-facing opportunity through BookReverb.

"User" means any Publisher, Reader, account holder, visitor, or other person who accesses or uses the Services.

"Campaign" means a reader-discovery, reader-participation, book-exposure, feedback, or completion-based activity created through BookReverb.

"Reader Assignment" means an opportunity for a Reader to access, read, evaluate, or engage with a book and complete eligible participation or completion steps through BookReverb.

"Reader Offer" means the amount allocated or offered in connection with a Reader Assignment, subject to BookReverb's rules, completion requirements, approval processes, and payment policies.

"Completion Verification" means an eligible method used to confirm that a Reader participated in or completed a Reader Assignment, which may include private feedback, a book report, survey responses, completion questions, or other methods accepted by BookReverb.

"Public Review" means any review, rating, comment, post, testimonial, or other content submitted by a Reader to Amazon, Goodreads, Google, Apple, Barnes & Noble, social media, a retailer, marketplace, review platform, or any other third-party platform.

"Third-Party Platform" means Amazon, Kindle Direct Publishing, Goodreads, Google, Apple, Barnes & Noble, Kobo, Walmart, Shopify, Facebook, Instagram, TikTok, X, YouTube, Trustpilot, or any other external marketplace, website, retailer, social platform, search platform, or review platform.

2. Nature of the Services

BookReverb is an independent reader-discovery, reader-participation, and reader-feedback platform. BookReverb helps Publishers present books to Readers and helps Readers discover books, complete reading-related assignments, and provide honest participation or feedback.

BookReverb does not sell reviews. BookReverb does not sell Amazon reviews. BookReverb does not sell positive reviews, favorable ratings, verified reviews, review placement, ranking improvements, sales increases, bestseller status, account protection, or permanent review visibility.

BookReverb does not require Readers to provide favorable feedback, specific ratings, specific wording, or positive opinions. Reader independence is essential to the Services.

BookReverb is not affiliated with, endorsed by, sponsored by, approved by, or formally reviewed by Amazon, Kindle Direct Publishing, Goodreads, Google, Apple, Barnes & Noble, Kobo, or any other Third-Party Platform.

3. Eligibility

You must be at least 18 years old to create an account or use the Services.

By using the Services on behalf of a company, publisher, author brand, agency, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

You may not use the Services if you are prohibited from doing so by applicable law, by these Terms, or by any prior suspension or termination issued by BookReverb.

BookReverb may refuse access to the Services, suspend accounts, terminate accounts, remove books, reject campaigns, or decline participation at any time in its sole discretion.

4. Account Registration and Security

You agree to provide accurate, current, and complete account information and to keep your information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You may not share your account, transfer your account, create accounts using false information, impersonate another person or entity, or use another person's account without permission.

You must promptly notify BookReverb of any unauthorized access, suspected account compromise, or security issue.

5. Publisher Responsibilities

Publishers are responsible for ensuring that they have all rights necessary to submit, promote, display, distribute, or make available any book, manuscript, cover, description, file, excerpt, image, metadata, link, or other material provided to BookReverb.

Publishers must ensure that submitted books and materials are accurate, lawful, non-infringing, and not misleading.

Publishers may not submit books or materials that violate intellectual property rights, privacy rights, publicity rights, contractual rights, platform policies, or applicable law.

Publishers may not use BookReverb to manipulate reviews, ratings, rankings, sales, algorithms, marketplace trust systems, reader behavior, or public perception in a deceptive or unlawful manner.

Publishers are solely responsible for understanding and complying with all laws, regulations, contracts, publishing agreements, advertising rules, endorsement rules, consumer protection rules, and Third-Party Platform policies that may apply to their books, campaigns, marketing activity, and Public Reviews.

6. Reader Responsibilities

Readers must participate honestly, independently, and in good faith.

Readers may not submit false, copied, fabricated, misleading, non-independent, AI-generated, plagiarized, or low-effort feedback.

Readers may not claim to have read a book they did not read.

Readers may not use multiple accounts, fake identities, automated systems, bots, scripts, VPN abuse, review rings, coordinated groups, or deceptive methods to participate in the Services.

Readers may not accept side payments, bonuses, gifts, instructions, threats, favors, refunds, or other benefits from Publishers in connection with a Reader Assignment.

Readers may not contact Publishers outside BookReverb for the purpose of obtaining extra compensation, negotiating review content, influencing assignment outcomes, or bypassing BookReverb.

If a Reader chooses to post content on a Third-Party Platform, the Reader is solely responsible for ensuring that the content is truthful, independent, based on the Reader's own experience, and compliant with that Third-Party Platform's rules.

7. Reader Independence and Prohibited Review Conduct

BookReverb is built around independent reader participation. Publishers may not control, edit, approve, reject, suppress, punish, reward, or influence Reader opinions.

Publishers may not ask, instruct, imply, pressure, or encourage Readers to:

Publishers may not offer any side payment, bonus, refund, prize, discount, gift, future opportunity, threat, penalty, retaliation, or other incentive based on whether a Public Review is posted, where it is posted, how quickly it is posted, what rating is given, or what the Public Review says.

Readers are not required by BookReverb to provide favorable feedback, favorable ratings, or positive opinions.

Any attempt to buy, sell, trade, suppress, manipulate, fabricate, or coordinate Public Reviews may result in immediate suspension, termination, forfeiture of credits, nonpayment, cancellation of assignments, and removal from the Services.

8. Third-Party Platform Policies

BookReverb does not control Third-Party Platforms and cannot interpret, enforce, waive, override, guarantee, or obtain exceptions from their policies.

Users are solely responsible for reading, understanding, and complying with the rules, terms, policies, community guidelines, review guidelines, content standards, advertising rules, disclosure requirements, and account requirements of any Third-Party Platform they use.

Third-Party Platforms may reject, suppress, remove, filter, hide, delay, moderate, flag, investigate, or delete content at any time. They may also suspend, restrict, terminate, or otherwise take action against accounts, listings, books, reviews, royalties, rankings, or content.

BookReverb is not responsible for any Third-Party Platform action or inaction, including review removal, account suspension, account termination, royalty withholding, ranking changes, listing suppression, deleted content, loss of visibility, loss of sales, or loss of account access.

BookReverb does not guarantee that any Public Review will be accepted, published, displayed, remain visible, remain permanent, or be treated favorably by any Third-Party Platform.

Your use of BookReverb does not guarantee compliance with Amazon, KDP, Goodreads, Google, Apple, Barnes & Noble, or any other Third-Party Platform.

9. No Guarantee of Results

BookReverb does not guarantee any specific result from use of the Services.

Without limitation, BookReverb does not guarantee:

Any examples, projections, estimates, case studies, testimonials, dashboard metrics, or marketing statements are illustrative only and do not guarantee future performance.

10. Campaigns and Reader Assignments

Publishers may create Campaigns by submitting eligible books, setting participation goals, allocating funds, and selecting available options within the Services.

BookReverb may review, reject, modify, pause, cancel, or remove any Campaign at any time for any reason, including suspected policy risk, misleading content, reader safety concerns, quality concerns, fraud concerns, payment concerns, legal concerns, or Third-Party Platform concerns.

Reader Assignments are subject to availability, reader interest, reader eligibility, completion requirements, deadlines, verification processes, quality review, fraud screening, and BookReverb's internal rules.

BookReverb may determine, in its sole discretion, whether a Reader Assignment is complete, incomplete, invalid, fraudulent, low quality, duplicative, late, or otherwise ineligible.

BookReverb may reverse, withhold, delay, deny, or adjust reader compensation or publisher charges where we believe an assignment violates these Terms, our internal rules, applicable law, reader independence, payment rules, or platform integrity.

11. Completion Verification

Readers may be required to complete eligible Completion Verification steps to confirm participation in a Reader Assignment.

Completion Verification may include private feedback, book reports, survey answers, reading confirmation questions, quality checks, or other methods accepted by BookReverb.

Completion Verification exists to help BookReverb confirm reader participation and assignment completion. It does not give Publishers the right to control Reader opinions or Public Reviews.

BookReverb may determine which completion methods are eligible, may change eligible completion methods, and may require additional verification at any time.

BookReverb may reject Completion Verification that appears false, copied, fabricated, AI-generated, incomplete, irrelevant, abusive, low effort, or otherwise inconsistent with the Services.

12. Public Reviews

Public Reviews are not guaranteed.

BookReverb does not control whether Readers choose to post Public Reviews, whether Third-Party Platforms accept Public Reviews, whether Third-Party Platforms remove Public Reviews, or whether Public Reviews remain visible.

Any Public Review must reflect the Reader's honest, independent opinion and must comply with the rules of the platform where it is posted.

Publishers may not treat Public Reviews as purchased assets, guaranteed deliverables, permanent placements, controlled advertising copy, or content they are entitled to edit, approve, suppress, or replace.

BookReverb may provide tools, links, dashboards, or information related to reader participation or campaign status. Such tools do not create any guarantee that a Public Review will be posted, remain posted, or comply with any Third-Party Platform policy.

If BookReverb offers any limited protection, credit, replacement, or courtesy adjustment related to removed content, that policy will be governed by the specific terms displayed at the time and may be changed, limited, or discontinued at any time.

13. Prohibited Uses

You may not use the Services to:

BookReverb may investigate suspected violations and may take any action we consider appropriate, including warnings, account suspension, account termination, campaign cancellation, content removal, forfeiture of credits, denial of payment, reversal of payments, legal action, and cooperation with law enforcement, regulators, payment processors, or Third-Party Platforms.

14. Payments, Deposits, Credits, and Fees

Publishers may fund their accounts by purchasing platform credits, deposits, campaign credits, prepaid allocations, or other payment units as made available by BookReverb.

Amounts deposited or purchased through BookReverb are prepaid allocations toward Services. They are not bank deposits, cash accounts, stored-value accounts, escrow accounts, trust accounts, money transmission accounts, or withdrawable balances.

BookReverb may apply Publisher funds toward reader compensation, platform fees, processing fees, campaign costs, administrative costs, taxes, adjustments, reversals, credits, or other charges associated with the Services.

All fees, pricing, minimum offers, campaign budgets, payment rules, and credit rules are subject to change at any time unless otherwise stated in a specific written agreement.

Deposits, credits, prepaid balances, and campaign allocations have no independent cash value except where required by law or expressly stated by BookReverb in writing.

15. Refunds and Account Credits

Except where required by law or expressly stated in writing by BookReverb, all payments, deposits, prepaid credits, campaign allocations, and fees are final and non-refundable.

BookReverb may, in its sole discretion, provide refunds, account credits, replacement credits, courtesy credits, campaign adjustments, or other accommodations.

Any refund or credit may be reduced by processing fees, completed assignments, reader compensation, platform fees, prior credits, promotional credits, chargeback costs, policy violations, administrative costs, or other amounts owed.

Promotional credits, bonus credits, courtesy credits, and manually issued credits may expire, may be non-transferable, may have no cash value, and may be revoked in cases of abuse, fraud, error, violation, or account termination.

No refund, credit, replacement, or accommodation creates an obligation to provide the same treatment in the future.

16. Chargebacks and Payment Disputes

You agree to contact BookReverb at support@bookreverb.com before initiating any chargeback, payment dispute, reversal, or bank claim.

Improper or bad-faith chargebacks may result in account suspension, campaign cancellation, termination, forfeiture of credits, collections activity, recovery of chargeback fees, recovery of administrative costs, and legal action.

If you initiate a chargeback or payment dispute for amounts associated with completed or partially completed Services, you remain responsible for all amounts due, including reader compensation, platform fees, processing fees, chargeback fees, collection costs, and reasonable attorneys' fees to the extent permitted by law.

Nothing in this section limits any non-waivable consumer rights that may apply under applicable law.

17. Taxes

You are responsible for all taxes, duties, levies, withholdings, reporting obligations, and governmental charges associated with your use of the Services, except for taxes based on BookReverb's net income.

BookReverb may collect taxes where required or may request tax information from Users where required for reporting, payment, or compliance purposes.

Readers are responsible for reporting and paying any taxes associated with compensation received through the Services.

18. User Content and License

Users may submit, upload, post, display, transmit, or otherwise provide content to BookReverb, including book covers, descriptions, excerpts, manuscripts, PDFs, metadata, links, comments, feedback, book reports, reviews, messages, profile information, and other materials ("User Content").

You retain ownership of your User Content, subject to the license granted below.

By submitting User Content to BookReverb, you grant BookReverb a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, distribute, transmit, modify, format, excerpt, analyze, moderate, promote, and otherwise use the User Content as reasonably necessary to operate, improve, protect, market, and provide the Services.

For Publisher-submitted book materials, this license includes the right to display covers, descriptions, excerpts, metadata, and related promotional materials to Readers and in connection with Campaigns.

For Reader-submitted feedback, this license includes the right to use, display, analyze, moderate, summarize, and share feedback with Publishers as part of the Services, subject to BookReverb's privacy and platform rules.

You represent and warrant that you own or have all rights necessary to submit your User Content and to grant the license above.

19. Content Moderation

BookReverb may, but is not obligated to, review, moderate, edit, remove, restrict, or refuse any User Content, Campaign, book, feedback, report, profile, message, or other material.

BookReverb may remove or restrict content that we believe is unlawful, misleading, infringing, abusive, low quality, fraudulent, policy-risky, harmful, deceptive, or otherwise inconsistent with the Services.

BookReverb's moderation decisions are final unless we choose to reconsider them.

BookReverb is not responsible for User Content and does not endorse any User Content.

20. Intellectual Property

The Services, including software, source code, databases, designs, interfaces, branding, logos, trademarks, text, graphics, workflows, algorithms, systems, and other materials created or owned by BookReverb, are owned by BookReverb or its licensors and are protected by intellectual property laws.

You may not copy, reproduce, distribute, sell, sublicense, modify, reverse engineer, scrape, decompile, create derivative works from, or exploit any part of the Services without BookReverb's prior written permission.

No rights are granted to you except as expressly stated in these Terms.

21. Copyright Complaints

If you believe content on BookReverb infringes your copyright, please contact us at support@bookreverb.com with:

BookReverb may remove allegedly infringing content and may terminate repeat infringers where appropriate.

22. Privacy and Data

Your use of the Services is also governed by our Privacy Policy, if posted separately. If no separate Privacy Policy is posted, BookReverb may collect and process account information, payment information, campaign information, reader participation data, technical data, communications, and other information as reasonably necessary to operate, protect, improve, and provide the Services.

BookReverb may use service providers, payment processors, analytics providers, cloud hosting providers, email providers, fraud-prevention tools, and other vendors to operate the Services.

BookReverb may disclose information where required by law, legal process, regulation, court order, subpoena, governmental request, payment processor request, fraud investigation, security need, enforcement need, or to protect BookReverb, Users, or the Services.

Users should not submit sensitive personal information unless specifically requested and necessary for use of the Services.

23. Communications

By creating an account or using the Services, you agree to receive transactional, administrative, legal, payment, campaign, support, and service-related communications from BookReverb.

You may also receive marketing communications where permitted by law. You may opt out of marketing communications, but you may still receive non-marketing communications related to your account or the Services.

You agree that electronic communications satisfy any legal requirement that communications be in writing.

24. Platform Availability and Changes

BookReverb may modify, update, suspend, discontinue, restrict, or remove any part of the Services at any time.

BookReverb does not guarantee uninterrupted, secure, error-free, or bug-free operation.

BookReverb is not liable for outages, data loss, delays, failed notifications, display errors, software bugs, payment processor issues, Third-Party Platform issues, email deliverability issues, or other interruptions.

BookReverb may conduct maintenance, updates, or emergency changes without notice.

25. Suspension and Termination

BookReverb may suspend or terminate your account, access, Campaigns, assignments, credits, payments, or use of the Services at any time if we believe you have violated these Terms, created legal or policy risk, engaged in fraud or abuse, failed to pay amounts owed, initiated improper chargebacks, harmed Users, harmed BookReverb, or used the Services in a manner inconsistent with platform integrity.

Upon suspension or termination, you may lose access to your account, Campaigns, credits, deposits, User Content, communications, data, and Services.

BookReverb may retain information as necessary for legal, tax, accounting, fraud-prevention, dispute-resolution, enforcement, security, and business purposes.

Sections intended to survive termination will survive, including payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.

26. Disclaimers

The Services are provided "as is" and "as available."

To the maximum extent permitted by law, BookReverb disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and any warranties arising from course of dealing or usage of trade.

BookReverb does not warrant that the Services will meet your expectations, produce any particular outcome, comply with any Third-Party Platform policy, prevent account action by a Third-Party Platform, or be uninterrupted, secure, or error-free.

You use the Services at your own risk.

27. Limitation of Liability

To the maximum extent permitted by law, BookReverb and its owners, officers, directors, employees, contractors, affiliates, agents, service providers, and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, including loss of sales, loss of royalties, loss of rankings, loss of reviews, loss of account access, account suspension, account termination, content removal, data loss, reputational harm, business interruption, or loss of goodwill.

To the maximum extent permitted by law, BookReverb's total liability for any claim arising out of or relating to the Services shall not exceed the greater of: (a) the amount you paid to BookReverb for the specific Campaign giving rise to the claim during the three months before the claim arose; or (b) one hundred dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

28. Indemnification

You agree to indemnify, defend, and hold harmless BookReverb and its owners, officers, directors, employees, contractors, affiliates, agents, service providers, and licensors from and against any claims, demands, damages, losses, liabilities, costs, expenses, penalties, fines, settlements, judgments, chargebacks, investigations, and fees, including reasonable attorneys' fees, arising out of or relating to:

BookReverb may control the defense of any indemnified matter, and you agree to cooperate with us.

29. Dispute Resolution; Informal Resolution

Before filing any legal claim, you agree to first contact BookReverb at support@bookreverb.com and attempt to resolve the dispute informally.

Your notice must include your name, account email, a description of the dispute, the amount at issue if any, and the resolution you are requesting.

BookReverb will attempt to respond in good faith. The parties agree to allow at least thirty (30) days for informal resolution unless emergency relief is required.

30. Arbitration and Class Action Waiver

To the maximum extent permitted by law, you and BookReverb agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court where permitted, and either party may seek injunctive or equitable relief for intellectual property misuse, unauthorized access, fraud, or misuse of the Services.

The arbitration shall be conducted by a mutually agreed arbitration provider under its applicable rules. If the parties cannot agree on a provider, the arbitration shall be administered by the American Arbitration Association under its applicable consumer or commercial arbitration rules, as appropriate.

You and BookReverb agree that disputes will be resolved only on an individual basis. You may not bring or participate in a class action, collective action, representative action, private attorney general action, or consolidated proceeding against BookReverb, except where such waiver is prohibited by law.

If the class action waiver is found unenforceable as to a particular claim, that claim must proceed in court and not arbitration, unless the parties agree otherwise.

This arbitration section should be reviewed by counsel before publication and may not apply in all jurisdictions.

31. Governing Law and Venue

These Terms shall be governed by the laws of the State of New York, without regard to conflict-of-law principles.

Subject to the arbitration provision above, any court proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Clinton County, New York, and you consent to personal jurisdiction and venue in those courts.

32. Changes to These Terms

BookReverb may update these Terms at any time.

Changes become effective when posted unless a later effective date is stated.

Your continued use of the Services after changes become effective means you accept the updated Terms.

If you do not agree to updated Terms, you must stop using the Services.

BookReverb may require you to affirmatively accept updated Terms before continuing to use some or all of the Services.

33. Assignment

You may not assign or transfer these Terms, your account, or your rights or obligations under these Terms without BookReverb's prior written consent.

BookReverb may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, sale of assets, financing, reorganization, or change of control.

34. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will remain in full force and effect.

35. No Waiver

BookReverb's failure to enforce any provision of these Terms does not waive our right to enforce that provision later.

Any waiver must be in writing and signed by BookReverb.

36. Entire Agreement

These Terms, together with any policies, guidelines, payment terms, campaign rules, reader rules, privacy terms, or written agreements incorporated by reference, constitute the entire agreement between you and BookReverb regarding the Services.

These Terms supersede all prior or contemporaneous understandings, communications, or agreements relating to the Services.
